Notice of Special General Meeting
Dear Member
In accordance with the rules of the Club, the Committee of Seaford RFC has elected to hold a Special General Meeting on Wednesday 12th November 2008 at 7.30pm at the Salts Club-House to propose the following. As a member you are invited to attend.
1. It is proposed that Seaford Rugby Football Club, including all its assets and liabilities, becomes a limited company known as Seaford Rugby Football Club Limited and that the Memorandum and Articles of Association created for this new legal entity replace the current ‘rules’.

The RFU is strongly recommending that all rugby clubs become limited companies. The majority of clubs in Sussex have already done this. Limited company status provides limited liability to the officers of the club and the management committee members who currently may be personally liable for any claim made against the club.
The proposed Memorandum and Articles of Association are on the website –
http://www.seafordrfc.com. If you are unable to access these and would like a copy to be sent to you, please contact Nicky Walker (contact details above).
2. It is proposed that the following directors and company secretary be elected onto the board of this limited company until the Annual General Meeting in 2009:
Ian Newby (Chairman)
Peter Joy
Jonathan Bird
Andrew Smith
Julian Turner
Nicky Walker (Company Secretary)
3. It is proposed that the club become a Community Amateur Sports Club (CASC).

Many rugby clubs are becoming Community Amateur Sports Clubs. This status means that the tax office will allow us to claim tax back on any gifts of money that are made to the club. It also means that we will be able to apply for a rate reduction on the Salts Club House.
If you are unsure about any of these proposals, have any queries or would like further information, please contact Nicky Walker. Obviously, if you wish to raise any points at the Special General Meeting, you are welcome to do so.
Yours sincerely
David Cleaton
President – Seaford RFC
